Terms of Service

1. Scope of These Terms

These Terms of Service (“Terms”) govern your access to and use of the HITA Platform monthly subscription service (the “Service”) offered by Conner Academy (“we,” “us,” or “our”) through this website.  As used in these Terms, ‘Conner Academy’ refers to CTM Holdings LLC, a Georgia limited liability company.

These Terms apply only to the HITA Platform monthly subscription. They do not apply to the Advanced Trusted Advisor (ATA) program or any other Conner Academy course, cohort, or professional development offering. Enrollment in the ATA program and any related courses is governed by separate onboarding documentation and agreements provided to participants through Conner Academy’s enrollment process.

By creating an account or starting a free trial of HITA Platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

HITA Platform is a subscription-based digital platform providing tools and resources for change practitioners, including an AI-assisted coaching feature, structured engagement workflows, and related functionality. The specific features available may change over time as we improve the Service.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.

4. Subscription, Trial, and Billing

HITA Platform is offered as a monthly subscription at the price displayed at signup. New subscribers may be offered a 14-day free trial. During the trial period, your payment method is authorized but not charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid monthly subscription and your payment method will be charged.

After the trial converts, your subscription will automatically renew each month and your payment method will be charged on the same day each billing cycle until you cancel. By providing a payment method, you authorize us to charge that method for all applicable fees.

5. Cancellation

You may cancel your subscription at any time through your account settings. The effect of cancellation depends on when you cancel:

• If you cancel during the 14-day free trial, your access to the Service ends immediately and your payment method will not be charged.
• If you cancel after the trial has converted to a paid subscription, your subscription will not renew. You will retain access to the Service through the end of the current billing period for which you have already paid, after which access will end.

6. Refunds

All subscription fees are non-refundable. Once a monthly billing period has been charged, we do not issue refunds for that period, in whole or in part. Cancellation stops future billing but does not refund amounts already paid.

7. AI Coaching Disclaimer

HITA Platform includes AI-assisted coaching and conversational features. The information, suggestions, and responses generated by the AI are provided for informational and educational purposes only. They do not constitute professional, legal, financial, medical, psychological, or business advice, and should not be relied upon as such.

AI-generated content may be inaccurate, incomplete, or out of date. You are solely responsible for the decisions you make and the actions you take based on any information provided by the Service. You should independently verify any AI-generated information before acting on it, and you should consult appropriate qualified professionals for advice specific to your situation.

Conner Academy makes no representation or warranty that any AI-generated content is suitable for any particular purpose, and disclaims all liability for outcomes arising from your use of or reliance on such content.

8. Acceptable Use

You agree not to:

• Share your account credentials or allow others to access the Service under your account.
• Use the Service to violate any law or the rights of any third party.
• Attempt to access, scrape, copy, or interfere with the Service or its underlying systems.
• Use the Service to develop or train a competing product or service.
• Upload content that is unlawful, infringing, harmful, or that you do not have the right to upload.

9. Intellectual Property

Conner Academy owns all rights, title, and interest in the Service, including all software, content, design, branding, and underlying technology. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during the term of your subscription, solely for your personal or internal professional use.

You retain ownership of the content you upload or create within the Service (“Your Content”). By uploading Your Content, you grant Conner Academy a limited license to host, process, and display it as necessary to provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CONNER ACADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CONNER ACADEMY FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if your payment method fails and is not promptly updated, or for any other reason at our discretion. Upon termination, your right to use the Service ends immediately.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Price Changes

We may change subscription pricing with at least 30 days’ advance notice by email. If you do not wish to accept a price change, you may cancel your subscription before the new price takes effect.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Georgia, and you consent to the jurisdiction of those courts.
